Reporting to the Assistant General Counsel, Mergers & Acquisitions and Intellectual Property, the Legal Counsel, Mergers & Acquisitions and Corporate will primarily have legal responsibility for supporting mergers, acquisitions and dispositions (“M&A”) and other strategic initiatives of Nutrien’s Corporate Development and Strategy group. As a member of Nutrien’s skilled and experienced deal team the successful candidate must possess a well-developed set of transaction related skills, the confidence to work independently and strong interpersonal skills as a valued contributor to a team. This position requires a collaborative approach with stakeholders to identify and manage risk in alignment with Nutrien’s business strategies.
What you will do:
- Advise senior management on legal issues arising in complex transactions, including transaction structures, regulatory and securities considerations.
- Advise on anti-trust matters arising in connection with transactions and operations.
- Coordinate and conduct legal due diligence.
- Draft, review and negotiate transactional agreements and other commercial documents.
- Draft and review presentations for senior management and the Nutrien Board of Directors.
- Review, advise, and deploy training on emerging industry trends and legal developments to further Nutrien’s compliance, best practices and risk management in the areas of corporate/commercial law.
- As part of Nutrien’s global Legal team, participate in and lead other corporate legal work as required.
- Comply with all Nutrien standards, policies, and procedures, including but not limited to the Nutrien code of conduct, respect in the workplace policies, safety, health and environment policies and other applicable policies and practices as implemented or amended.
- Manage, direct and provide strategic counseling to external counsel globally as they support various transactions and initiatives.
- Travel both within North America and globally may be required.
What you will bring:
- The successful candidate must have a Law Degree (LLB/JD) and be a practicing member in good standing with the Law Society of Alberta.
- Approximately 3-7 years of experience with a focus on Mergers & Acquisitions and related workstreams at a leading law firm or as in-house counsel with a large corporation.
- Ability to effectively collaborate with stakeholders, identify risk and provide practical advice and solutions with an understanding of overall business objectives.
- A strategic mindset connecting tailored advice to both broad and specific organizational goals.
- Keen analytic and problem-solving skills with demonstrated ability to understand the broader economic, strategic and operational issues affecting the business.
- Exceptional communication and negotiation skills, with a well-developed ability to understand, simplify and explain complex legal issues to colleagues of varying seniority.
- Excellent relationship building and interpersonal skills, based on a foundation of integrity.
- Ability to prioritize tasks in a fast-paced environment, manage a broad range of daily interactions and address unexpected projects with condensed timelines.
- Good judgment in working with stakeholders, occasionally under ambiguous or challenging circumstances.
- Solid work ethic with ability to take initiative.
